You represent and warrant that you are at least 18 years of age and have the legal authority to enter into this agreement. If you are acting on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.
4.1 Engagement Process
All service engagements begin with a formal scope of work and engagement letter outlining specific deliverables, timelines, and fees. No services commence until the engagement agreement is signed by both parties.
4.2 Fees and Billing
Fees are as specified in your engagement agreement. We invoice according to the billing schedule agreed upon. Payment terms are net 30 days from invoice date unless otherwise specified. Late payments may incur interest at the rate of 1.5% per month or the maximum allowable rate under Canadian law, whichever is lower.
4.3 Expenses
You agree to reimburse us for reasonable out-of-pocket expenses incurred in delivering services, including travel, accommodations, and materials. Expenses will be submitted with supporting documentation.
5.1 Confidential Information
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. We will not disclose client information, business strategies, or personal data to third parties without explicit written consent, except as required by law.
5.2 Work Product Ownership
Reports, recommendations, and deliverables created specifically for your organization become your property upon full payment. General methodologies, frameworks, and tools developed by Jylvaris Consulting LLP remain our intellectual property and may be used with other clients.
To the extent permitted by Canadian law, Jylvaris Consulting LLP shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from or related to these services, even if advised of the possibility of such damages. Our total liability shall not exceed the fees paid for the services in question during the 12 months preceding the claim.
Our recommendations are professional opinions based on information available at the time of engagement. We do not guarantee specific outcomes or results. Implementation of recommendations is the client's responsibility. Consult with legal, financial, and HR professionals before acting on our recommendations.
We comply with Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and Quebec's Law 25 (Bill 64). Personal data collected during engagement will be processed and stored securely. Please refer to our Privacy Policy for detailed information about data handling practices.
9.1 Termination by Client
The client may terminate an engagement with 30 days' written notice. The client remains responsible for payment for services rendered and reasonable expenses incurred up to the termination date.
9.2 Termination by Jylvaris Consulting LLP
We may terminate engagement if the client fails to pay invoices within 45 days, breaches the confidentiality agreement, or engages in conduct that prevents us from delivering professional services.
Our services are provided "as is" without warranties of any kind, express or implied. We do not warrant that our services will be error-free, uninterrupted, or meet all your expectations. We disclaim all implied warranties, including merchantability and fitness for a particular purpose.
You agree to indemnify and hold harmless Jylvaris Consulting LLP from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, your violation of these terms, or your violation of any laws or rights of third parties.
Jylvaris Consulting LLP maintains professional independence. We disclose any potential conflicts of interest. We do not represent competing clients in the same industry during active engagements without explicit disclosure and written consent.
13.1 Permitted Use
You may use our website for lawful purposes only. You agree not to use the website to upload, post, or transmit harmful, illegal, or inappropriate content.
13.2 Intellectual Property Rights
All content on our website, including text, graphics, logos, and images, is the property of Jylvaris Consulting LLP and protected by copyright law. You may not reproduce, distribute, or transmit any content without written permission.

These Terms of Service are governed by the laws of the Province of Quebec and the laws of Canada applicable therein. Both parties submit to the exclusive jurisdiction of the courts of Montreal, Quebec.
Before initiating legal action, both parties agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, disputes may be submitted to mediation. Only if mediation is unsuccessful may legal action be pursued.
Jylvaris Consulting LLP reserves the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services following notification of changes constitutes acceptance of the modified terms.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid.
These Terms of Service, together with any engagement letter, scope of work, and other agreements signed by both parties, constitute the entire agreement between you and Jylvaris Consulting LLP regarding our services and supersede all prior agreements and understandings.
